Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Nodi AI web application (the "Service") operated by Nodi AI Group ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Eligibility & Account Security

2.1 Age Requirement

The Service is intended for professional use. By using Nodi AI, you represent and warrant that you are at least 13 years of age. If you are under 18, you must have parental or guardian consent to use the Service.

2.2 Account Responsibility

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

2.3 Unauthorized Use

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Intellectual Property & AI Content

3.1 Service Ownership

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Nodi AI Group and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

3.2 User Content & AI Outputs

As part of the Service, you provide inputs ("Prompts") and receive outputs generated by the AI ("Outputs").

  • Ownership: To the extent permitted by applicable law, you own the Outputs generated by Nodi AI based on your Prompts.

  • License to Us: By using the Service, you grant Nodi AI a limited, non-exclusive, royalty-free license to process your Prompts and Outputs solely to provide the Service to you.

  • Model Training: As per our Privacy Policy, we do not use your private Prompts or Outputs to train our models without your explicit opt-in consent.

    • 3.3 Accuracy of AI Content

    Due to the nature of machine learning, AI-generated Outputs may occasionally be inaccurate, incomplete, or biased. Nodi AI does not guarantee the accuracy of any Output. You should evaluate the accuracy of any Output as appropriate for your use case, including by using human review.

    4. Acceptable Use Policy

    • To generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
    • To infringe upon the intellectual property rights of others.
    • To attempt to "reverse engineer" or "jailbreak" the underlying AI models.
    • To transmit any viruses, worms, or malicious code.
    • For any automated "scraping" or data extraction without prior authorization.

    5. Fees, Payments & Refunds

    5.1 Subscriptions & Billing

    Certain parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis.

    5.2 Payment Gateways

    • Stripe: For international credit/debit card transactions.
    • bKash: For local mobile financial services in Bangladesh.

    5.3 Refunds

    Except when required by law, paid subscription fees are non-refundable. We recommend utilizing our free tier or trial periods (if available) to evaluate the Service before committing to a paid plan.

    6. Limitation of Liability

    In no event shall Nodi AI Group, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

    • Your access to or use of (or inability to access or use) the Service.
    • Any conduct or content of any third party on the Service.
    • Any content obtained from the Service (including AI Outputs).
    • Unauthorized access, use, or alteration of your transmissions or content.

    7. Disclaimer of Warranties

    Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

    8. Governing Law

    These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any legal action or proceeding related to your access to, or use of, the Service shall be instituted in the courts located in Dhaka, Bangladesh.

    9. Changes to Terms

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

    10. Termination

    We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
